Terms of Service

1. Acceptance of Terms

By accessing and using Soundsta.sh ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

Soundsta.sh is a web-based audio file management and sharing platform that allows users to:

  • Upload and store audio files
  • Organize audio files in playlists
  • Share audio files with others via secure links
  • Connect with external storage providers (Google Drive, Dropbox)
  • Play and manage audio content
  • Sell audio tracks directly to fans via a personal track store, powered by PayPal

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our sole discretion.

4. Subscription Plans and Billing

4.1 Plan Tiers

Soundsta.sh offers the following plans with varying features and storage limits. Full details and current pricing are available on our website:

  • Free – No charge. Includes 500 MB of Soundsta.sh cloud storage, Google Drive and Dropbox integration, and limited access to certain features (fullscreen player is available with watermark; A/B test player and advanced sharing are not available). Track Store is not available on the Free plan.
  • Premium – Recurring subscription (billed monthly or annually). Includes 10 GB of Soundsta.sh cloud storage and full access to all features including unlimited fullscreen player, A/B test player, advanced sharing, priority support, and the Track Store (ability to sell tracks to fans via PayPal).
  • Lifetime License – One-time payment. Grants the same feature set as the Premium subscription (including Track Store access), except Soundsta.sh cloud storage is capped at the Free plan limit (500 MB). Users who hold a Lifetime License and later subscribe to Premium receive a discounted subscription rate.

4.2 Payment

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). The Lifetime License is a one-time non-recurring charge. All payments are processed securely through Stripe.

4.3 Cancellation and Refunds

You may cancel a Premium subscription at any time. When cancelling, you can choose between two options:

  • Cancel immediately – Your subscription ends right away and you receive a prorated refund for the unused portion of your current billing period.
  • Cancel at period end – Your subscription remains active until the end of the current billing period. No refund is issued; you simply will not be charged again.

The cancellation option is presented during the cancellation flow in your account settings.

The Lifetime License is non-refundable. Please review the plan details carefully before purchasing. If you have questions, contact us before completing your purchase.

If you hold a Lifetime License and cancel an active Premium subscription, all Lifetime License features remain active; only the expanded Premium storage reverts to the Lifetime License storage limit.

4.4 Changes to Pricing

We reserve the right to modify subscription fees with at least 30 days' notice to existing subscribers. Continued use of the Service after price changes constitutes acceptance of the new pricing. Lifetime License holders are not affected by subscription price changes.

5. Storage

5.1 Soundsta.sh Cloud Storage

Paid plans include access to Soundsta.sh-managed cloud storage powered by Cloudflare R2. This storage is provided directly as part of your subscription and is fully managed by us. Storage limits vary by plan as described in Section 9. Both playlist audio files and Track Store files (audio tracks uploaded for sale via the Track Store feature) are stored on the same Cloudflare infrastructure and count together toward your plan's storage quota.

5.2 Connected External Storage (Google Drive & Dropbox)

Soundsta.sh optionally integrates with Google Drive and Dropbox as user-owned external storage alternatives. By connecting these services, you authorize Soundsta.sh to automatically create a dedicated folder named "Soundsta.sh" in your external storage account and to manage files within that folder exclusively via their respective APIs using OAuth. Soundsta.sh does not access, read, or modify any existing files or folders outside this dedicated managed folder. You agree to the respective terms of service of any external provider you connect.

Important: When you disconnect an external storage provider from your account, the managed "Soundsta.sh" folder and all audio files it contains will be permanently deleted from your external storage account. This action cannot be undone. You will be shown a warning before confirming the disconnection.

5.3 Responsibility for External Storage

IMPORTANT: We do not control and are not responsible for external storage providers (Google Drive, Dropbox). We do not:

  • Take responsibility for the availability, reliability, or security of external storage services
  • Guarantee the integrity or permanence of files stored on external providers
  • Assume liability for data loss, corruption, or unauthorized access occurring on external storage
  • Warrant the continued availability of integrations with external providers

5.4 Data Backup

You are solely responsible for maintaining backup copies of your files. We strongly recommend keeping local backups of all important audio files, regardless of which storage option you use.

5.5 Service Interruptions

External storage provider outages, API changes, or service discontinuations may affect your ability to access files stored there. Soundsta.sh is not responsible for such interruptions.

6. User Content

6.1 Ownership

You retain all rights to the audio files and content you upload to the Service. Soundsta.sh does not claim ownership of your content.

6.2 License to Use

By uploading content, you grant Soundsta.sh a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of providing the Service to you.

6.3 Prohibited Content

You agree not to upload, share, or distribute content that:

  • Violates copyright, trademark, or other intellectual property rights
  • Contains malware, viruses, or harmful code
  • Is illegal, obscene, defamatory, or hateful
  • Violates the privacy rights of others
  • Promotes violence, discrimination, or harassment

6.4 Content Monitoring

While we do not actively monitor user content, we reserve the right to review and remove content that violates these terms or applicable laws.

7. File Sharing

7.1 Sharing Features

Soundsta.sh allows you to share audio files via secure links. You are responsible for managing access to your shared content.

7.2 Share Link Expiration

Share links created on the Free plan are valid for 30 days from creation. Premium and Lifetime License holders can set custom expiration dates, remove the time limit entirely, enable download permissions, and protect links with a password. Once a share link expires or is revoked, it can no longer be used to access the shared content.

7.3 Revocation

You may revoke access to shared content at any time. Once revoked, the share link will no longer provide access to the content.

7.4 Recipient Responsibility

By sharing content, you represent that you have the right to share that content and that the recipients are authorized to access it.

8. Track Store

8.1 Overview

The Track Store feature allows eligible users ("sellers") to list audio tracks for sale and accept payments from buyers. The Track Store is available to Premium subscribers, Lifetime License holders, users in their free trial period, and administrator accounts.

8.2 Store Setup

To activate your store you must configure a unique store slug (a short identifier that forms your public store URL at soundsta.sh/store/<slug>) and a valid PayPal email address in your account settings. Changing your store slug will invalidate all previously shared store links. You are responsible for keeping your PayPal email up to date; Soundsta.sh is not liable for payments directed to an incorrect address.

8.3 Pricing and Payments

All transactions in the Track Store are processed exclusively through PayPal. The minimum track price is $1.00 USD. Prices are set by the seller and are displayed in USD. Soundsta.sh does not hold, collect, or transfer funds; payments go directly from buyer to seller via PayPal.

PayPal deducts its own transaction fee from each payment before crediting the seller. As a reference, PayPal's standard commercial transaction fee is approximately 3.49% + $0.49 per transaction, but this may vary by country, account type, and PayPal's current terms. The estimated net payout shown in the Store interface is for informational purposes only; the actual amount you receive is determined by PayPal.

Soundsta.sh charges no additional commission on Track Store sales.

8.4 Download Links

Upon successful payment, a time-limited download token is issued to the buyer. Download links are valid for 48 hours from the time of purchase and may be used a maximum of 3 times. Expired or exhausted tokens cannot be reactivated. Sellers should be aware that buyers cannot re-download a file after the token expires; it is the buyer's responsibility to save their purchase promptly.

8.5 Seller Obligations

By listing a track for sale you represent and warrant that:

  • You are the copyright owner or have obtained all necessary rights and licenses to sell the track commercially.
  • The track does not infringe any third-party intellectual property, privacy, or other rights.
  • You will comply with all applicable laws and PayPal's terms of service.
  • You have connected a valid PayPal account capable of receiving payments.

Soundsta.sh reserves the right to remove any listing or suspend Store access for violation of these obligations or these Terms.

8.6 Refunds and Disputes

Because digital files are delivered immediately upon payment, all Track Store sales are final. Soundsta.sh does not mediate refund disputes between buyers and sellers. Buyers who believe a purchase was made fraudulently should contact PayPal directly.

8.7 Track Store Storage

Audio files uploaded to the Track Store are stored on Soundsta.sh-managed Cloudflare R2 infrastructure. Track Store files share the same storage quota as your playlist files — combined usage counts toward your plan's storage limit. You can review your current usage (split by playlist and store) in the Storage tab of your account settings. Files remain available as long as the track listing is active. Deleting a track listing will remove the associated file from storage; deletion may be blocked while active download tokens are still valid.

9. Storage Limits and File Management

9.1 Storage Quotas

Each plan includes a storage quota that applies to all Soundsta.sh-managed (Cloudflare R2) storage — both playlist files and Track Store files count together toward this limit. The Free plan and Lifetime License include 500 MB; the Premium subscription includes 10 GB. Files stored on connected external providers (Google Drive, Dropbox) are not counted against these quotas and are subject to those providers' own limits. Exceeding your storage quota will prevent you from uploading additional files (to either the playlist or the store) until space is freed or you upgrade your plan.

9.2 File Size Limits

The Free plan supports uploads of up to 100 MB per file for all available storage options. The Premium subscription has no per-file size limit. Files stored on external providers may be subject to those providers' own file size restrictions.

9.3 File Retention

Files stored on Soundsta.sh-managed storage (Cloudflare R2) will be retained as long as your account remains active. Files on external storage are subject to those providers' retention policies.

9.4 Account Deletion

If you delete your account, files stored on Soundsta.sh-managed storage (Cloudflare R2) will be permanently deleted. The managed "Soundsta.sh" folder created by Soundsta.sh in any connected external storage provider (Google Drive, Dropbox) will also be permanently deleted, along with all audio files it contains. We recommend disconnecting any external storage from your account settings before deleting your account if you wish to retain those files independently.

10. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Resell or redistribute the Service without authorization
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or obscure any proprietary notices from the Service

11. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Intellectual Property

12.1 Service Ownership

Soundsta.sh and its original content, features, and functionality are owned by Soundsta.sh and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

12.2 Trademarks

Soundsta.sh name, logo, and related marks are trademarks of Soundsta.sh. You may not use these marks without prior written permission.

13. Disclaimers and Limitations of Liability

13.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

13.3 External Storage Disclaimer

WE EXPLICITLY DISCLAIM ALL LIABILITY FOR DATA LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS RELATED TO FILES STORED ON EXTERNAL STORAGE PROVIDERS (GOOGLE DRIVE, DROPBOX, OR ANY OTHER THIRD-PARTY SERVICE YOU CHOOSE TO CONNECT). YOU ACKNOWLEDGE THAT THESE SERVICES ARE BEYOND OUR CONTROL AND YOU USE THEM AT YOUR OWN RISK.

13.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Soundsta.sh SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Unauthorized access to or alteration of your content
  • Data loss or corruption on user-connected external storage (Google Drive, Dropbox)
  • Any third-party services or integrations
  • Any other matter relating to the Service

13.5 Maximum Liability

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Soundsta.sh and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you upload or share through the Service

15. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Service after changes are posted constitutes acceptance of the modified terms. We will make reasonable efforts to notify users of material changes.

16. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Soundsta.sh operates, without regard to conflict of law principles.

17.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

18. Miscellaneous

18.1 Entire Agreement

These Terms constitute the entire agreement between you and Soundsta.sh regarding the Service and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
